1. Agreement

These Terms of Service ("Terms") govern your access to and use of KrewDash and any related services operated by August Automation LLC ("August Automation," "we," "us," or "our"), a Texas limited liability company. By signing up for or using our services, you agree to these Terms.

If you do not agree, do not use our services.

2. Services

August Automation provides KrewDash, a field service management platform that includes:

• Job creation, dispatch, and management
• Crew scheduling and portal access
• Client management
• Payment tracking and closeout
• SMS notifications via Twilio
• Intake form and booking pages (where configured)

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. Accounts

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Ensuring your staff who access the platform comply with these Terms
• Providing accurate business information including your EIN for SMS registration

You must be at least 18 years old and authorized to enter into binding agreements on behalf of your business to create an account.

4. Payment Terms

Subscription fees are charged monthly as agreed at signup. Fees are non-refundable except as required by law.

Setup fees are charged once at onboarding and are non-refundable.

If payment fails, access may be suspended after a grace period of 5 days. Access is restored upon payment.

We reserve the right to change pricing with 30 days written notice.

5. SMS Messaging Program Terms

Program Name: KrewDash Notifications

1. Program Description: KrewDash sends transactional SMS notifications on behalf of home service businesses. Messages include appointment confirmations, job status updates, crew assignment notifications, post-service follow-ups, and operational alerts to business owners and crew members.

2. You can cancel the SMS service at any time. Just text "STOP" to the number you received messages from. After you send "STOP" you will receive one final confirmation message and you will no longer receive SMS messages from us. If you want to opt back in, reply "START" or submit a new service request.

3. If you are experiencing issues with the messaging program you can reply with the keyword "HELP" for more assistance, or get help directly at contact@augustautomation.co.

4. Carriers are not liable for any delayed or undelivered messages.

5. Message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies based on your service appointments and account activity. If you have any questions about your text plan or data plan, contact your wireless provider.

6. Upon opting in you will receive the following confirmation: "[Business Name]: You're confirmed to receive appointment and job notifications. Msg & data rates may apply. Message frequency varies. Reply HELP for help, STOP to cancel."

Note: All text messaging opt-in data and consent will not be shared with any third parties or affiliates for marketing or promotional purposes.

5a. SMS Compliance Obligations for Clients

By using KrewDash's SMS features you agree to:

• Only send messages to individuals who have consented to receive them
• Maintain records of consent for your end users
• Honor all opt-out requests immediately (STOP keyword)
• Comply with the Telephone Consumer Protection Act (TCPA) and all applicable carrier regulations
• Provide accurate business information for 10DLC brand registration

You are solely responsible for the content of messages sent to your customers and crew. August Automation is the platform operator and is not liable for message content or delivery failures beyond our control.

Misuse of the SMS feature including sending spam or unsolicited messages will result in immediate account termination.

6. Acceptable Use

You agree not to use KrewDash to:

• Violate any applicable law or regulation
• Send spam, unsolicited messages, or harassing communications
• Impersonate any person or business
• Upload malicious code or attempt to compromise platform security
• Resell or sublicense access to the platform without written authorization
• Scrape or extract data from the platform in bulk

7. Data and Privacy

Your use of the platform is also governed by our Privacy Policy at augustautomation.co/privacy. By using our services you agree to the collection and use of data as described there.

You retain ownership of your business data (clients, jobs, crew, payments). We do not sell your data. Upon account termination you may request a data export within 30 days before deletion.

8. Intellectual Property

KrewDash, its design, code, and all associated materials are owned by August Automation LLC. Nothing in these Terms grants you any ownership rights in the platform.

You grant us a limited license to use your business name and logo solely for the purpose of operating and displaying your branded instance of KrewDash.

9. Confidentiality

We treat your business data as confidential. We do not share it with third parties except as described in our Privacy Policy or as required by law.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

WE ARE NOT RESPONSIBLE FOR ANY LOSSES ARISING FROM SMS DELIVERY FAILURES, CARRIER FILTERING, THIRD-PARTY SERVICE OUTAGES (TWILIO, SUPABASE, VERCEL), OR DATA LOSS BEYOND OUR REASONABLE CONTROL.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUGUST AUTOMATION LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless August Automation LLC, its members, officers, and employees from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the platform, your violation of these Terms, or your violation of any applicable law.

13. Termination

Either party may terminate the agreement with 30 days written notice. We may terminate immediately for material breach including non-payment or violation of the acceptable use policy.

Upon termination, your access is revoked and your data is retained for 30 days then deleted.

14. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes shall be resolved in the courts of Texas.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
